1. Accepting these terms

By creating an APEX account you agree to these terms and to our Privacy Policy. If you don't agree, don't use APEX.

APEX is operated by Hayden Lynam, a sole proprietor based in Fort Wayne, Indiana ("APEX", "we", "us").

2. Your account

3. Driving safety

APEX is not a driving aid, and it is never an excuse for how you drive.

You are solely responsible for operating your vehicle safely and lawfully at all times. No feature of APEX — a route, a convoy, a meet, a friend's position on the map — justifies breaking a traffic law, exceeding a speed limit, or taking any risk on the road.

Specifically, you agree that:

Maps, routes and estimated times come from third-party map data and may be wrong, out of date, or unsuitable for your vehicle. Always trust the road and the signs over the app.

APEX does not verify how any user drives, and does not vet, supervise, or take responsibility for the conduct of anyone you meet or drive with through the app.

4. Rules of conduct

You agree not to use APEX to:

Report violations with the ⋯ button in the app. We review reports within 24 hours.

5. Your content

You own what you post. Photos, listings, meets, and your profile stay yours.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, display and distribute your content solely to operate APEX — for example, showing your car photo to your crew. This licence ends when you delete the content or your account, except for copies already made by other users and anything we must keep by law.

You confirm you have the right to post what you post. We may remove content that breaks these terms, and content reported by several people is hidden automatically pending review.

Content is stored and transmitted by third-party services described in our Privacy Policy.

6. Meets and events

Plainly: meets belong to the person who organises them. APEX is the noticeboard, not the host.

7. Marketplace

Plainly: we don't take a cut, don't hold the money, and aren't in the middle of the deal.

9. Our intellectual property

APEX, the APEX name and logo, the app, and the website are ours and protected by law. We grant you a personal, non-transferable, revocable licence to use the app as intended. Don't copy, modify, resell, or reverse-engineer it.

Vehicle manufacturer names and models appear for identification only. We claim no affiliation with, or endorsement by, any manufacturer.

10. Suspension and termination

You may stop using APEX and delete your account at any time.

We may suspend or close an account that breaks these terms, creates risk for other users, or is used unlawfully. For serious violations — threats, harm to a minor, stolen property, organising a race — we may act immediately and without notice, and may report it to the authorities.

Sections 5, 7, 9, and 11 through 15 survive termination.

11. Disclaimers

APEX IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that APEX will be uninterrupted, error-free, or that maps, routes, locations, or estimated times will be accurate. We are not responsible for the conduct of any user, whether online, on the road, or in person.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APEX AND ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS.

THIS INCLUDES, WITHOUT LIMITATION, ANY CLAIM ARISING FROM: A TRAFFIC COLLISION, INJURY OR DEATH; YOUR OR ANOTHER USER'S DRIVING; ATTENDING OR HOSTING A MEET; ANY MARKETPLACE TRANSACTION; OR ANY INTERACTION WITH ANOTHER USER.

OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US$100.

Some jurisdictions don't allow certain exclusions, so parts of this section may not apply to you. Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

13. Indemnification

You agree to indemnify and hold APEX harmless from any claim, damage, loss or expense (including reasonable legal fees) arising from your use of APEX, your content, your driving, a meet you host or attend, a transaction you enter into, or your breach of these terms.

14. Disputes and arbitration

Plainly: most disputes get resolved by an arbitrator rather than in court, and not as a class action. You can opt out within 30 days.

These terms are governed by the laws of the State of Indiana, without regard to conflict-of-law rules.

Talk to us first. Email support@apexdriving.app and give us 30 days — most things get sorted this way.

Arbitration. Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Indiana or by video. Either of us may bring an individual claim in small-claims court instead.

Class action waiver. Disputes are brought only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative action.

30-day opt-out. You may reject this arbitration section by emailing legal@apexdriving.app within 30 days of first accepting these terms, stating your name and that you opt out. Opting out changes nothing else.

15. General

Draft for legal review. Written specifically for APEX's actual features and risk profile, but not by a lawyer. Have counsel review before launch — particularly sections 3, 12 and 14, and confirm the arbitration clause and class-action waiver are enforceable in your state.
